| 3. Purpose: |
| 1. | Adhering to the school's mission, we encourage alumni to cherish and support their alma mater. |
| 2. | To maintain the bonds among alumni and promote the spirit of mutual assistance among them. |
| | | |
| IV. Membership Qualifications: |
| 1. Basic Membership: | All students who have attended Shau Kei Wan Chung Chun School, have registered for membership, and are willing to abide by the association's constitution are eligible to apply. |
| 2. Of course, members: | All former or current teachers or school board members of Shau Kei Wan Chung Tsin School. |
| 3. Honorary Member: | Anyone who is a basic or ex-officio member and donates 1,000 yuan or more can become an honorary member. |

| V. Membership Fees: |
| Membership fees are waived; donations are welcome. |
| | | |
| VI. Member Rights: |
| All basic members of the alumni association have the right to elect and be elected, and the right to move and vote at the general meeting and special general meeting. All members are also entitled to participate in various activities organized by the association. |

| VI. Obligations of Members: |
| All members of this association must abide by the constitution and the obligations stipulated in the resolutions of the general meeting, special general meeting and standing committee. |
| | | |
| VIII. Organization: |
| This association is an affiliated organization recognized by the Board of Directors of the Shau Kei Wan Chung Tsin School Incorporated, and consists of a General Meeting of Members, an Advisory Committee, and a Standing Committee. |
| 1. General Meeting of Members |
| 1.1 The General Meeting of Members is the highest authority of this association, composed of all basic members, and its powers include: |
| | 1.1.1 | Formulate and amend the articles of association; |
| | 1.1.2 | Electing and removing standing committee members, alumni representatives of the advisory committee, and alumni directors of the incorporated board of directors; |
| | 1.1.3 | To review the work report and financial report of the Standing Committee; |
| | 1.1.4 | To discuss, promote and improve the association's affairs. |
| 1.2 Convene a general meeting of members. |
| | 1.2.1 | The annual general meeting is held and convened by the current standing committee. |
| | 1.2.2 | The general meeting of members must be notified to all members fourteen days in advance. |
| | 1.2.3 | The quorum for the general meeting of members shall not be less than twenty. |
| | 1.2.4 | If a quorum is not reached half an hour after the designated start time of the general meeting, the meeting shall be adjourned. The meeting shall be rescheduled within thirty days, and all members shall be notified seven days in advance. The rescheduled meeting shall be valid regardless of the number of attendees. |
| 1.3 Convene a special members' meeting |
| | A special general meeting can only be convened if it is deemed necessary by more than one-third of the basic members or by more than two-thirds of the standing committee members. The standing committee must convene the meeting within thirty days of receiving the request and must notify all members seven days in advance. The method of convening the meeting and the quorum are the same as those for a general meeting. |
| 1.4 | Any motion shall be adopted only if passed by a majority of the basic members present at the general meeting. The chairperson shall not vote when deciding motions. If the number of votes for and against is tied, the chairperson may cast the deciding vote. However, a motion to dissolve the alumni association shall be handled in accordance with Article 15 of the association's constitution. |
| 1.5 | During the recess of the General Meeting, all affairs of the Association shall be handled by the Standing Committee. |
| | | |
| 2. Advisory Committee |
| 2.1 | The Standing Committee of the General Meeting of Members shall exercise its functions during the recess of the General Meeting of Members. |
| 2.2 | Authority: |
| | 2.2.1 | It is responsible for overseeing whether the Standing Committee performs all its duties in accordance with this chapter. |
| | 2.2.2 | If a standing committee member commits misconduct, the advisory committee has the right to suspend or remove that member from their position. |
| | 2.2.3 | If the Standing Committee fails to act in accordance with its charter or seriously violates or contravenes the Alumni Association's objectives, the Advisory Committee has the right to immediately dissolve the current Standing Committee. The Advisory Committee must convene a special general meeting of the Alumni Association within thirty days to re-elect the Standing Committee, and must notify all Alumni Association members seven days in advance. The quorum for the meeting is the same as that for the general meeting. The term of office for the re-elected Standing Committee members is from the date of their election until the remainder of the current Standing Committee's term. |
| 2.3 | Advisory Committee Members: |
| | It consists of the current principal and vice-principal of the alma mater, two school board members (recommended by the Incorporated Board of Directors), and two alumni association basic members (elected by the alumni association general meeting). All members serve on a voluntary basis, and the current principal of the alma mater serves as the convener of the advisory committee, responsible for holding meetings. |
| 2.4 | The alumni representatives of the Advisory Committee are recommended by the alma mater, the Standing Committee of the Alumni Association, and the Board of Trustees of the Incorporated School, and are elected by the General Meeting of the Alumni Association. |
| 2.5 | The two members of the Advisory Committee elected by the Alumni Association General Meeting must be basic members aged 21 or above; their term of office is two years, and they may be re-elected. Members who are also current faculty members or current board members of the alumni association are not eligible to run for alumni representative positions on the Advisory Committee. |
| 2.6 | If an alumni representative member of the Advisory Committee leaves office during their term, creating a vacancy, the Standing Committee must convene a general meeting or special general meeting of members within 180 days to elect a replacement and fill the vacancy. |
| 2.7 | The advisory committee will meet as needed. |
| | |
| 3. Standing Committee: |
| 3.1 | Elected by the General Meeting of Members, the Standing Committee members must be 18 years of age or older. |
| 3.2 | Its powers are: |
| | 3.2.1 | To implement the resolutions of the general meeting of members; |
| | 3.2.2 | The committee is responsible for preparing for and convening general meetings of members, and may convene special general meetings of members if necessary. |
| | 3.2.3 | Report on the work and financial status to the general membership meeting. |
| | 3.2.4 | The Standing Committee meetings are convened whenever necessary, and all resolutions require the consent of more than half of those present to be effective. |
| 3.3 | The Standing Committee consists of eight to fourteen members, including: |
| | 3.3.1 | One chairman; |
| | 3.3.2 | One vice chairman; |
| | 3.3.3 | Two finance officials; |
| | 3.3.4 | One clerk; |
| | 3.3.5 | Contact one person; |
| | 3.3.6 | One public relations representative; |
| | 3.3.7 | One general affairs officer; |
| | 3.3.8 | There are zero to six committee members. |
| 3.4 | term of office |
| | Each member of the Standing Committee serves a two-year term, from January 1st to December 31st of the following year, and may be re-elected. |
| 3.5 | Powers of each committee member |
| | 3.5.1 | The Chairperson represents the alumni association externally and leads the Standing Committee in handling all affairs internally. They sign all official documents and chair meetings. |
| | 3.5.2 | Vice-Chairperson – Must perform the duties prescribed by the Standing Committee and assist the Chairperson in handling meeting affairs. In the event of the Chairperson's absence or resignation due to meeting affairs or other reasons, the Vice-Chairperson shall act as Chairperson until the Chairperson returns to office or a replacement is appointed by the Standing Committee in accordance with the regulations. |
| | 3.5.3 | Finance – Manage all financial income and expenditure of the alumni association and keep accurate and detailed records. |
| | 3.5.4 | Clerk – Responsible for drafting meeting minutes, handling correspondence, and maintaining meeting records. |
| | 3.5.5 | Liaison – Responsible for all liaison work. |
| | 3.5.6 | Public Relations – Managing and promoting alumni association activities. |
| | 3.5.7 | General Affairs – Responsible for the general affairs of the association. |
| 3.6 | Fill temporary vacancies |
| | If a Standing Committee member leaves office during their term, creating a vacancy, the Standing Committee must conduct an internal by-election within ninety days to fill the vacancy. If the Standing Committee is unable to conduct a by-election within this period, it may convene an Alumni Association General Meeting or Special General Meeting within ninety days to elect a new Standing Committee member to fill the vacancy. The term of office for the new Standing Committee member shall be from the date of election until the remainder of the current Standing Committee member's term. |

| IX. Elections: |
| The Standing Committee is re-elected every two years and approved by a vote at the Alumni Association General Meeting. The detailed election procedures are determined by the Standing Committee, but the scrutineers must be non-Standing Committee members. |

| 10. Finance: |
| 1. | The treasurer is responsible for collecting funds and depositing them into a designated bank. The chairman, vice-chairman, clerk, and accountant of the Standing Committee for the year are the valid signatories for all of the Association's bank accounts. Withdrawals are valid only if signed and sealed by two of the valid signatories. |
| 2. | The funds of this association are limited to paying the association's normal expenses and carrying out the activities stipulated in the association's charter and purpose, and shall not be used for any other purpose. |
| 3. | The association should manage its finances within its means and should not incur external debt. |

| XI. Election of Alumni Board Members: |
| 1. | As stipulated in the Education Ordinance and Section 5.1(d) of the School Incorporation Board's Articles of Association, the composition of the School Incorporation Board must include one alumni board member. An alumni board member can help improve the quality of education at the school, serve as an important bridge between alumni and school management, and participate in decision-making on important school matters. |
| 2. | The Standing Committee shall select and nominate basic members of the Alumni Association in accordance with the following procedures to register them as alumni directors of the Board of Trustees. |
| 3. | election director |
| | The Returning Officer is a standing committee member who is responsible for coordinating, arranging and executing the entire election process. However, the Returning Officer may not run for election in this particular election in order to ensure fairness. |
| 4. | Candidate Qualification |
| | 4.1 | All basic members aged 21 or above are eligible to run for election, but candidates must meet the requirements for school board election: Appendix 6 Alumni School Board Election Guidelines - Candidate Qualifications and the registration requirements for school board members as set out in Article 30 of the Education Ordinance. |
| | 4.2 | Alumni who are also current faculty members of their alma mater are ineligible to run for election. |
| | 4.3 | All candidates must obtain valid signatures from no fewer than five core members of the alumni association during the nomination period in order to be eligible to run for office. |
| 5. | Nomination period |
| | 5.1 | The nomination period must be no less than fourteen days. |
| | 5.2 | Each basic member may nominate a maximum of two candidates to run for election. |
| 6. | election |
| | 6.1 | Every basic member has equal voting rights. |
| | 6.2 | Elections should be conducted by secret ballot. |
| | 6.3 | The electoral system and procedures must be conducted in a fair and transparent manner. |
| | 6.4 | Each basic member can collect their ballot from their alma mater on a designated date. All ballots must be sealed and returned to the alma mater on the election day or within the designated period. |
| | 6.5 | All returned ballots must be counted publicly and immediately after the voting period ends, and all members are welcome to attend and monitor the vote counting. |
| | 6.6 | The candidate with the most votes will be nominated and registered as an alumni trustee. |
| | 6.6 | If candidates receive the same number of votes, the winner will be determined by drawing lots. |
| | 6.7 | If the number of candidates is equal to or less than the number of vacancies, the candidates will be automatically elected. |
| 7. | The Standing Committee must report the election results to the Incorporated Board of Directors before the specified deadline after the election, and nominate the elected alumni to the Incorporated Board of Directors to register them as alumni directors. |
| 8. | Proposal process |
| | The procedures for alumni council members to propose motions at Incorporated Council meetings must be carried out in accordance with the provisions set forth in the Incorporated Council's bylaws. According to the Incorporated Council's bylaws, all council members, regardless of their class, must act in their personal capacity in the best interests of the students of their alma mater. |
| 9. | Fill temporary vacancies |
| | If an alumni councilor leaves office during their term, creating a vacancy, the alumni association must hold a by-election within ninety days in the same manner to fill the vacancy. If the alumni association is unable to hold a by-election within this period, the incorporated council may apply to the Permanent Secretary for Education of Hong Kong for an extension of the time limit for filling the vacancy. |

| | If the Standing Committee deems it inappropriate for an alumni board member to continue representing the alumni association as a board member, it shall proceed in accordance with Article 13, "Disciplinary Actions," of this charter and, after the resolution is passed, submit a written request to the Board of Directors to cancel their alumni board member registration. |
| 11. | term of office |
| | The term of office is two years, and candidates may be re-elected for a maximum of one term. The term of office runs from September 1st of the even-numbered year to August 31st of the following even-numbered year, or until the end of the remaining term of the current alumni board member. |

| XII. Amendments to the Constitution: |
| 1. | If there are any deficiencies in this constitution, the Standing Committee shall propose amendments at the Alumni Association General Meeting or Special Meeting; the amendments to this constitution shall take effect upon being passed by the Alumni Association General Meeting or Special Meeting. |
| 2. | However, any revisions to the alumni association's objectives or the advisory committee, including its powers, members, and terms of office, must be approved by the advisory committee before they can be submitted to the alumni association's general meeting or special general meeting for revision. |

| XIII. Disciplinary Action: |
| 1. | If any member (including alumni representative advisors, standing committee members, and alumni board members) or member of this association is found to have neglected their duties, acted disloyally, or committed any of the following offenses, and if proven true, and with the approval of more than two-thirds of the standing committee members, the standing committee has the right to impose disciplinary measures on them, depending on the severity of the offense, such as issuing an oral or written warning, suspending or removing them from their position as a member, or expelling them from the association. |
| | 1.1. | Violation of the constitution; |
| | 1.2. | Those who refuse to implement or disobey resolutions of the general meeting of members, special general meeting of members, or standing committee; |
| | 1.3. | Anyone who misuses or impersonates the association's name, thereby damaging the association's reputation; |
| | 1.4. | Actions that harm the interests of this association; |
| | 1.5. | Anyone who has been convicted of violating any criminal law. |
| 2. | Any member whose position has been suspended or removed from the Standing Committee or whose membership has been expelled has the right to appeal to the Advisory Committee for a final decision. |
| 3. | Members who have been removed from their positions (including alumni representative advisors, standing committee members, and alumni board members) are no longer allowed to hold any public office in the alumni association. |

| 14. Withdrawal from membership: |
| 1. | Alumni association members may submit a written application to the Standing Committee to withdraw from the association. If accepted, their membership will be cancelled. |
| 2. | Those who voluntarily withdraw from the association or are expelled from the association will not have their fees paid or donations made to the association refunded. |

| 15. Dissolution: |
| 1. | If the association needs to be dissolved, the relevant decision must be approved by two-thirds or more of the members present at the Alumni Association General Meeting or Special Alumni Association General Meeting. |
| 2. | Any remaining assets of this association will be donated to our alma mater. |
